Advise blockchain and crypto companies with formation, structuring, capital raising, and compliance with regulatory regimes such as money transmitter license and money services business registration (MTL/MSB). Prepare Terms of Service, Privacy Policies and Notices, Anti-Money Laundering (AML), and due diligence policies for wide range of crypto platforms. Draft legal opinion letters applying the “Howey” investment-contract-securities-law test to prospective initial coin offerings (ICOs) to evaluate regulatory risk and assist with potential exchange listing.

Litigated landlord-tenant and plenary civil matters via court appearance and substantial motion practice. Drafted predicate notices, petitions, and answers to initiate and defend civil legal action. Finalized affidavits for dispositive motions; drafted affirmation, reply, and sur-reply legal documents; demanded, organized, and produced discovery materials; and counseled clients on multitude of real property legal matters.

Developed and applied due diligence protocol, on 1000+ unit portfolios, to quantify potential overcharge liability from rent stabilization laws. Admitted to N.Y. bar in August 2018. Litigated in N.Y.C Civil and N.Y. Supreme Courts. Drafted pleadings and motions, defended depositions, and advocated at court appearances.

Assisted attorneys in providing representation, advocacy, and legal advice on matters impacting senior clients, including landlord/tenant disputes and reverse-mortgage foreclosure. Negotiated for arrears settlements, advocated for succession rights, and generally worked to avail clients of the rights guaranteed by New York’s mosaic of affordable housing laws.

Prepared due diligence memorandum for imminent securities offerings, IPOs, and merger/acquisitions. Fact-checked financial statements, compiled company profiles, maintained correspondence logs, and researched intellectual property ownership to prepare antitrust litigation defense.

Aided Assistant District Attorney Matthew Krouse and ADA Joseph Whitehead of the Philadelphia District Attorney’s Office in prosecuting open cases of criminal law on behalf of the Commonwealth of Philadelphia. Worked first hand with witnesses, police officers, and detectives to manage open cases and prosecute crimes within the city’s central district. Helped organize exhibit folders, prepare evidence for trial, and at times assist with oral arguments.
