As a general counsel and strategic business partner, I offer a unique blend of legal advisory, business strategy, and financial acumen that allows me to drive operational efficiencies, advance business goals for public companies, and translate complicated capital markets nomenclature into pragmatic legal advice and direction.I began my legal career working at large NYC law firms where I gained invaluable experience and a solid foundation in capital markets and real estate transactions. I subsequently worked on Wall Street at a prominent investment bank and then pivoted to working at Simon Property Group (SPG), the largest retail REIT in the US where I coordinated with the C-suite and advanced a spin-off public company, Washington Prime Group (WPG).Throughout my career, I’ve experienced and resolved a broad range of matters, including the governance and compliance functions of a spin-off (SPG and WPG) and company merger (WPG and Glimcher Realty Trust), negotiated significant transactional documents, led a public company through reverse stock split, navigated two CEO transitions, coordinated board matters, and resolved sensitive employment and severance matters.In my daily work as EVP, General Counsel, & Corporate Secretary at WPG, I collaborated with business teams, outside advisors, and the board of directors to address complex issues while helping run a public company. I served as a key member of the C-suite consortium and worked in tandem with the CEO and CFO across key areas of governance, compliance, transactions (M&A), legal management, and ESG strategy and sustainability.Ultimately, I led the corporate restructuring of WPG and implemented its Plan of Reorganization with outside counsel, including consolidating all revolving credit and term loan facilities into a new multibillion-dollar exit term loan facility. I also led WPG’s transition from a public company to a private company (majority owned by SVPGlobal). I stepped down from my role at the end of 2022, and transitioned to an executive consultant role, advising on major litigation and assisting with the leadership transition.In November 2023, I joined McCarter & English, an Am Law 150 firm, representing clients across a range of real estate, financing, and corporate governance matters. In June 2024, I joined Comstock Companies (NASDAQ: CHCI) as its General Counsel, Chief Compliance Officer, and Corporate Secretary, to advise the board and executive team on corporate governance, legal functions, commercial real estate development, SEC compliance, and various strategic initiatives.
