Projects vary from: • consulting with PMC Treasury (London & NY based consulting firm) on large multi-national corporate financial and treasury projects with a primary focus on engagements with private equity partners/ownerships related to both new acquisitions and finance & treasury optimization of existing subsidiaries/companies • short term & medium term part-time engagements with local not-for-profits (NFP) for management & financial mentoring, streamlining & scrubbing all aspects of financials, policies and reporting, and optimization of accounting & financial processes

Vectra Co was a diversified manufacturing company in the magnetics, specialty battery and advanced organics chemical businesses. The company is a private equity acquisition that took place in late 2015. As Treasurer, assumed a leadership role in managing the company’s balance sheet. • Directly oversee capital structure, debt & investment portfolios, negotiations of credit agreements, and ongoing compliance & reporting requirements• Assessed and implemented corporate risk management program including property, casualty, executive & work comp coverages, interaction with US Department of Labor for self-insured FBL program, surety & reclamation bonding program, and company enterprise risk modeling• Established and maintained credit rating agency relationships with S&P and Moody’s• Transitioned entirely new corporate office from Cleveland to St Louis after the private equity acquisition

Patriot Coal, a producer of coal used for both electricity generation and steel production, was spun off in a tax free transaction from Peabody Energy in late 2007. Patriot’s balance sheet was saddled with extensive liabilities which contributed to the eventual filing for Chapter 11 bankruptcy in July 2012, followed by a successful emergence from bankruptcy protection in December 2013 • Directly oversee capital structure, debt & investment portfolios, negotiations of credit agreements, and ongoing compliance & reporting requirementso Capital structure placements include public equity offering, revolving credit agreements, asset backed lending facilities, convertible debt offering, high yield notes, DIP (debtor-in-possession) financing and term loan structures• Assessed and implemented corporate risk management program including corporate insurance program (property, casualty, executive & work comp coverages), approval from Department of Labor for self-insured FBL program, claims management program for workers’ comp, surety & reclamation bonding program, and coordinate company enterprise risk modeling• Senior management role for acquisition analysis, due diligence, integration and financing• Established and maintained credit rating agency relationships with Standard & Poor’s and Moody’s• Board appointed member to the company Retirement Committee with oversight responsibility for the company defined contribution plan and investment options• Senior role in Patriot’s Chapter 11 bankruptcy (filed July 2012) including DIP financing, investor meetings, compiling & review of court filings, interaction with bankruptcy advisors, resolution of creditor claims & settlements, and exit financing. Patriot emerged successfully in December 2013. • Reporting into the Treasurer role are cash management & treasury, corporate risk management, work comp claims management, accounts payable, and payroll

The Energizer battery & lighting business was spun off from Ralston Purina in April 2000 as one of the world's largest and primary suppliers of such products. Over the next seven years, Energizer expanded its portfolio of products into the personal care business through acquisitions of the Schick razor and Playtex personal care businesses.• US & international cash flow management, including cash flow forecasting, foreign exchange hedging practices, intercompany netting operations, and matching cash flow surpluses with cash needs globally, implementation of corporate procurement card program, and execution of company share repurchase program • Debt portfolio management, including credit agreement negotiations, compliance reporting, banking relationships. Debt portfolio included AR securitization program, fixed & floating rate private placement notes, revolving credit facilities (US & Singapore) and local country lines of credit • Risk & insurance management, including property, casualty, work comp and executive coverages; large focus on product liability claims management, and establishment of global captive insurance program • Merger & acquisition projects included extensive work on the spin off of Energizer from Ralston in April 2000, the March 2003 acquisition of the Schick razor business from Pfizer ($930 million), and the acquisition of the Playtex personal care business in 2007 (approximately $2.0 billion), and back office integration (globally) of both Schick and Playtex• Worked closely with Accounting and Tax departments to ensure US & state tax benefits of the various programs established, as well as special projects for the repatriation of funds from international operations • Member of company pension & trust committee, with fiduciary responsibility for the company defined benefit (pension) plan & defined contribution (401k plan)
