My primary practice areas are (i) US domestic and multinational transactional mergers and acquisitions, due diligence through post-closing integration phases, (ii) entity formations and dissolutions, (iii) US taxation and wealth management, (iv) general corporate and company secretarial matters, including preparation of Board and stockholder resolutions, preparation and filing of corporate annual reports, assistance with advising on the beneficial ownership reporting requirements under the US Corporate Transparency Act, and (v) domestic international sales corporation (IC-DISC) formation and maintenance (25+ years spent working closely with Neal Block in the IC-DISC area). In the course of working in these areas, I communicate effectively with colleagues as well as client company executives, outside legal and accounting professionals. I strive to be proactive and to deliver outstanding client service in a timely, cost-effective manner.
