I am a partner in the corporate department, and the managing partner, of Farrell Fritz, PC, a middle market law firm located on Long Island. I have a general corporate practice with a particular emphasis in merger and acquisition transactions and in representing banks in commercial lending matters.I represent businesses in connection with acquisitions, dispositions, mergers, joint ventures and other business combinations, shareholders' agreements, partnership agreements and employment agreements, and matters of corporate law generally. I have also represented entities in corporate restructurings and in connection with acquiring and disposing of distressed assets. I have experience in the health care industry ranging from advising a regional managed care company in connection with strategic transactions, advising physicians practices in connection with general corporate advice and advising not-for-profit hospital boards in connection with various corporate governance issues. I have also represented health care providers, and lenders to health care providers, in connection with commercial transactions.I am privileged to serve as the Chair of the Board of Family Service League and to serve on the Boards of Directors of The Long Island Housing Partnership, the Energeia Partnership and EPIC Long Island. I am a former member of the Board of Directors of the Long Island Philharmonic and of the Long Island Chapter of the Arthritis Foundation.Upon being admitted to practice, I became an associate in the Corporate/Banking Group of Rogers & Wells, where I worked in the New York and London offices. I have also worked at Skadden and at Rivkin Radler before moving to Farrell Fritz in the late 1990s.
