Our wholly owned Canadian subsidiary created and marketed vacation packages. As General Counsel, and key member of Executive team, managed overall legal function and served as key adviser for real estate, labor & employment, litigation, on-board hotel operations, lodging property and tour partners partnerships, intellectual property, US and Canadian online privacy and marketing compliance, risk management and international compliance in heavily regulated industry. Advise and guide Board of Directors, executive team, and global business units in mitigating critical legal risks and implementing business strategy to maximize returns. Manage P&L and budget for legal, insurance and risk functions. Manage compliance for corporations and outside counsel in US, Bermuda, Canada, Mexico, Bahamas, UK and Panama. Negotiate and draft vessel charters, including government/military.• First General Counsel (CLO) responsible for all legal and regulatory functions of company and direct report to Chairman.• Negotiated 30 year commercial lease valued at over $180M with governmental landlord. • Key member of executive team responsible for strategic development, operations and compliance. • Chief negotiator for $10M loan workout, resulting in removal of onerous financial covenants and waiver of technical defaults for company.• Successfully managed several international litigation, arbitration and mediation cases ranging from $10M- $180M.• Worked with marketing department and subsidiary tour company to create tour packages with travel partners in US and Canada.• Served as primary company representative to local, state and federal governments, chamber of commerce, business partners, and Federal regulatory agencies.
