Negotiation and International Business Law The Negotiation course provides students with an overview of the impact of legal, ethical and regulatory considerations on the business organization with regard to the Unites States' market. Although introductory in nature, the course provides substantive analysis of the topics addressed. Specific topics considered include: legal theory, legal forums and institutions, contract law, business forms, employment regulation, anti-competitive practices and intellectual property. Although the focus of this course is primarily from a USA domestic law perspective, consideration is given to international legal issues.

I worked with Phillip Halpern (Managing Partner) in representing shareholders and board of directors in corporate and commercial law issues. I advised an investment advisory corporation in a multimillion dispute against a Delaware LLC (third party marketer) based on the alleged breach of duty of loyalty and duty of good faith owned by the third party marketer. I advised the board of directors of a major medical device manufacturer regarding a shareholder derivative suit.

I conducted researches on arbitration clauses and drafted escalation dispute resolution clauses used in international commercial contracts for the International Association for Contract & Commercial Management ("IACCM").I explored the role the industry-type plays in affecting the application and success of step clauses. I provided recommendations on ideal language and structure templates for distinct industries engaging in international contracts.

I performed research and drafted memoranda on commercial law issues. I attended trials and hearings.

I assisted clients on projects concerning infrastructures and other public and private works, offering advice at all the stages of the project, both to sponsors and financial institutions.
