  Consult on the taxation of compensation and benefits, including executive compensation, equity plans, non-qualified arrangements , qualified retirement plans, health and welfare plans, fringe benefits, payroll reporting, parachute payment considerations, transactional due diligence, and deductions.- Review non-qualified deferred compensation plans (as well as long-term incentive plans, short-term incentive plans and equity compensation plans) for compliance with Internal Revenue Code (IRC) Section 409A, and model potential tax consequences.- Perform compensation and benefits due diligence regarding the taxation of equity and executive compensation in transactions. Consult on the application of golden parachute rules under IRC Section 280G and non-qualified deferred compensation rules under IRC Section 409A, as part of the due diligence process and analysis of both executive compensation (including review of executive employment agreements, calculation of deductions relating to equity awards [options, restricted stock, etc], and discussion of potential regulatory risk) as well as employee benefits (review of qualified retirement plan and other benefit plan documents as well as projected liabilities).- Calculate IRC Section 280G golden parachute tax exposure relating to payments to executives of companies undergoing a change in control as well as for purposes of disclosing potential payments upon a change in control and/or termination to named executive officers as required by the SEC.
