RAS India Fund-of Funds is a multi-manager, multi-strategy approach to investing in India. The RAS Fund provides exposure to funds investing in diversified industries, sectors and investment strategies within India.

Due diligence on managers, investment, operational and legal responsibilities for $500+mm fund of hedge funds.

• Represent fund sponsors in the development, structuring, organization and offering of domestic and offshore private equity funds and hedge funds.• Represent private equity firms in acquisitions and divestitures of portfolio companies. Prepare and negotiate all documentation from structuring to closing of such acquisitions.

Ondotek developed desktop and server management software and a proprietary hardware device for remote PC management.Sourced, negotiated and closed Ondotek’s seed round (partly through my own investment vehicle, including a personal investment) and three additional angel rounds led by a professional investor.Managed strategic relationships, including 3Com, HP and Intel: negotiated letters of intent; prepared presentations on synergy, market opportunity and strategic fit.Developed initial contacts and signed contracts with Ondotek’s seven beta testing partners, including two companies with $100+ million revenues. Acted as head of finance, preparing budgets and financial projections, reporting to the CEO and Board on financial status.Reviewed patent filings with Ondotek's technology team and outside patent counsel (Ondotek was awarded two patents by the USPTO); examined trademark, patent protection and other general intellectual property issues on an ongoing basis.

• Represented sponsors, issuers and placement agents in the structuring, organization and offering of various domestic and offshore hedge funds, private equity funds and funds of funds. • Reviewed documentation for funds’ investments into portfolio companies; negotiated with the funds’ own investors and structured their investments into the funds. • Organization and registration of investment advisers and broker-dealers. Ongoing advice to such entities on various regulatory matters.• Represented buyers and sellers in several major mergers, acquisitions, tender offers and spin-offs. • Represented investment companies in acquisitions of other investment advisory firms. Prepared and negotiated all documentation from structuring to closing of such acquisitions.• Prepared and filed acquisition agreements, proxy statements, tender offer materials, SEC filings. • Represented issuers and underwriters in public offerings and private placements of debt & equity.
