As a tech lawyer, I work with incredible companies such as Qihoo 360, Tencent, JD.com, Baidu, Alibaba, and Xiaomi. The privilege of working with awesome start-ups and founders makes practicing fun. And nothing beats the feeling of going on stage to ring the bell for an IPO. I also work with GPs from many exceptional funds and I’ll list some: SAIF, IDG, Sequoia, Qiming, GGV, KPCB, DCM, Lightspeed, Matrix, All-Stars, Northern Light, Morningside, Zhen Fund, and Hillhouse. Having set up the first fund for Kaifu Li (Innovation Works), Richard Li (Morningside), Duane and Gary (Qiming), Richard Ji (All Stars) and Qi Lu (Miracle Plus), I'd like to say that there is no shortage of GP talent in China. Alas, I have a family office, and that has allowed me to learn tremendously about entrepreneurship outside the practice of law.I enjoy teaching so for over a decade I taught the members of the Hong Kong Venture Capital Association (HKVCA). Public speaking is fun and some of my more memorable ones for me are the first TechCrunch Disrupt in China (2011), China's inaugural World Internet Conference (WIC) in Wuzhen (2014), and the inaugural Wall Street Journal's Asia D.Live Conference (2017). Dixon Doll (founder of DCM) and I appeared on CCTV’s then preeminent TV show discussing the future of China’s venture capital market in 2006. Seeing yourself on TV (usually a re-run in a hotel gym) was cool. Spanning my career, I am proud to have been the recipient of awards and honors. Thank you for the acknowledgement by the Financial Times, AsiaLaw, Chambers, Legal 500, and China Business Law Journal.

He is an expert in China's “restricted industries” such as the Internet, banking, funds, broadcasting, e-commerce, education, energy, financial services, healthcare, media and entertainment, publishing and telecommunications. Rocky advises Western and multinational companies how to do business in China: navigate complex regulations governing intellectual property matters, foreign investment in China, foreign exchange and the structure of cross-border transactions. He is an authority in the use of the VIE structure and has extensive experience with China’s rules and regulations and approval procedures concerning antitrust, financial institutions and funds, foreign exchange, telecommunications matters, cross-border M&A, anti-monopoly law (AML), and national security review (NSR). As the one who helped launched Cadwalader's Asia practice back in 2010, Rocky Lee built the China legal team from scratch and quickly led them to win numerous awards for Cadwalader; establishing it as a local powerhouse in M&A, private equity, and technology. Cadwalader catapulted from not having an office in China, to being a leading international law firm that won numerous awards and accolades in Asia under Rocky's leadership. Cadwalader won the coveted distinction of being 2015 Law Firm of the Year which is awarded by the China Business Law Journal, sweeping the two most competitive categories: M&A and Private Equity; it also won Private Equity Law Firm of the Year for 2014. Rocky’s handling of the landmark Xiaomi financing, at the time the largest technology VC/PE transaction in China, helped Cadwalader win Law Firm of the Year in 2014. Xiaomi’s precedent-setting private placement syndication is widely viewed as a benchmark-setting transaction, making Xiaomi one of China’s most valuable venture-backed start-ups. Rocky’s handling of the merger and financing of Didi-Kuaidi (China’s largest taxi hailing company), making Didi-Kuaidi China’s one of the most valuable technology start-up by valuation, and his handling of China Minsheng Bank’s acquisition of Quam, a Hong Kong listed securities house, helped Cadwalder win both Private Equity and M&A Law Firm of the year in 2015.
