I am an M&A lawyer who specialises in public company takeovers and takeover defences. I have deep experience in this field, having practised in the area since the 1980s. Over that time, I have been lucky enough to work of many of Australia's highest profile and most complex company transactions. Recently, I have advised Newcrest Mining on its $26 billion acquisition by Newmont. Other notable transactions include acting for Crown Resorts on the deal with Blackstone, advising Tabcorp on the demerger of its lotteries business, Toll Holdings on its sale to Japan Post, Tabcorp on its merger by scheme of arrangement with Tatt's Group, Healthscope on its acquisition by Brookfield and Coles in relation to its sales process (which culminated in the $22 billion sale to Wesfarmers) and many many others. It has been a privilege to work on those transactions.My expertise and understanding of the market has been honed throughout my career. I was a member of the Takeovers Panel for 12 years (2007-2019). I am a lecturer at Melbourne Law School on company takeovers (since 2000). I am the author of the well-known book, Takeovers Law & Strategy (now in its 6th edition), together with many other journal and newspaper articles. Despite doing company takeover work for over 30 years, I still enjoy it immensely. I love the challenge of every transaction and using my skills to ensure our client gets the best result possible.I started at HSF (then called Moules in Melbourne) as an articled clerk and have never left. For almost 9 years until 2022 I was the managing partner of the Melbourne office at HSF, in addition to practising as an M&A lawyer.Outside work, I have an interest in classic cars. I am not much of a mechanic (unfortunately), but I am the proud owner of a number of cars. These give me great pleasure.I have two sons, of whom I am very proud. (The fact they appear at the end of this section does not reflect their importance to me. I just felt it might be odd to put them at the top!)
