Magnifoam Technology, Inc. designs, develops and manufactures custom engineered products using silicone and other cellular materials. The Company has three main product lines: Silicone, Aerospace and Fabricated Products.▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬As the CFO and charter Board of Directors member of Magnifoam, I directed a comprehensive corporate finance platform for a start-up manufacturer specializing in silicone, thermal and acoustical products for use in mass transit. The company was also the innovator of memory foam. With customers such as Boeing, Bombardier, and Embraer, I was directly responsible for all finance, accounting and HR activities. This included raising equity, building the finance team, acquisitions, establishing infrastructure and controls, corporate governance, and executing internal and external reporting. In addition, I also set accounting and administrative policies and provided cash management, as well as budgeting and forecasting direction.In the pursuit of international business development, I led acquisitions in the U.S. and Europe, providing complete process management from the valuation of target companies to negotiations and transaction closures. In 1989, I launched Brooks Investments, Ltd., specializing in the corporate finance management of early stage companies. As a senior leader in accounting and profit building, I identified, structured, completed due diligence, and negotiated and closed investments/acquisitions. Providing financial stability for long-term corporate goals, my primary duty was to serve as a Chief Financial Officer.I developed and directed financial plans and profit building activities across industries including computer security, hydrogen fuel cells, air conditioning, wood pellet manufacturing, and glass protection.From 1989 to 1992, I had the pleasure of serving as a Financial Adviser to Fundy Cable, the largest Cable company in Eastern Canada and to its Shareholder's personal and family Holding Companies. I refinanced the company's $40 million in debt saving it $500,000 per year; arranged financing for the company’s acquisition of various radio stations in Eastern Canada and arranged the project financing for the build of a new cable system in Leicester, England. In addition, I served as a Board Member for a number of companies including Magnifoam Technology and American Sensors, Inc. **As Co-founder, Seed Investor, and Founding Director at American Sensors Inc. between 1991-1995, I built the team that introduced carbon monoxide detectors to the global marketplace. The Midland Bank of Canada, part of the United Kingdom’s leading deposit banks, is now part of HSBC, one of the largest banking and financial services organisations in the world. ▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬▬Recruited in 1986 to join the senior management team at Midland Bank of Canada, I was responsible for the establishment of the bank’s Corporate Finance division. Starting from the ground up, I utilized my comprehensive understanding of various loan facilities and equity instruments to design products and develop new business. I also built and managed a high-level corporate finance team. Within the scope of my duties, I sourced, structured, negotiated and executed project financings, off-balance sheet financings, interest and currency swaps, mezzanine financings, LBOs and MBOs. As a mentor and senior banking team leader, I provided instruction in the education of corporate bankers on deal structuring techniques. I also served as a member of the Credit Committee.

After contributing positively to the bank’s asset base, I was promoted to head the corporate bank in Ontario as an integral part of an 8-member team. During my tenure at Chemical Bank, I secured, negotiated and completed the closure of approximately $1B creative and traditional financing transactions across Canada and the United States. On the forefront of new banking practices, I orchestrated a number of interest and currency swap transactions. I was also a member of the company’s Credit Committee.
