Hired initially as a part-time consultant, I positioned this under-capitalized Company to become a public company and completed a successful Alternative Public Offering in June 2009. The company is now traded on the OTCQB (LUVU). Specific achievements include:• Preparation of all SEC filings, merger and registration statements along with the PCAOB audited financial statements. • Completed acquisition of complimentary e-commerce company which added $9 million to revenue.• Creation of detailed and comprehensive financial models which allows the Board to focus on problem areas within the Company and also provides managers with key performance indicators.• Implemented an Employee Stock Option and Profit Sharing Plan. • Completely revised the Employee Handbook and reduced the financial close cycle from 30 days to 10 days. • Secured multiple credit facilities totaling $4.5 million. • Selected and implemented a new ERP system and e-commerce platform for a high-volume e-commerce operation. • Hold full responsibility for the entire finance function, setting financial and business strategy as a member of the Board of Directors. • Serve as primary liaison with investment community, as well as key point of contact for risk/legal issues and corporate negotiations. • Deliver corporate and financial presentations to prospective investors, customers and shareholders.
