Assist Local Census Offices in New England and Upstate New York in identifying, testing and reviewing applicants for enumerators in this year's decennial census. Review training and ensure that ennumerators are paid timely and the Census is accurate.

Planned and implemented full-cycle Sarbanes-Oxley projects for a large scrap-metal company and a recently listed Bio-Fuels company. Also performed a second year Sarbanes compliance review for a subsidiary of a multi billion dollar electrical products corporation.

Worked as an independent contractor for this consultancy in assisting small and medium sized public companies comply with the recently enacted Sarbanes-Oxley law affecting corporate governance, utilizing my background in Corporate Governance and Internal Audit.Planned and implemented full-cycle Sarbanes-Oxley projects for a medical device company.. Also performed a second year Sarbanes compliance review for a genetic research company.

Assistant Secretary - GTE Corporation, Irving, TX (1998-2001)Responsible for Corporate Governance, Shareholder Operations, SEC Reporting and compliance. Prepared the annual proxy and planned and scheduled annual meetings. Managed a department of fourteen with a budget of over $8 million.

Responsible for shareholder relations; managed the corporation’s outsourced transfer agent and bond registrar services for GTE’s 1.2 million shareholders. Directed proxy solicitation, distribution and tabulation.

Responsible for GTE’s $13 billion domestic debt and preferred stock portfolio. Managed relations with public and institutional security holders, fixed income analysts, investment banks, and various trustees and agents.

Responsible for controllership function for a wholly owned financial subsidiary of GTE Corporation that provided stock transfer and bond registrar services and employee benefit plan administration (401k). Managed and professionally developed 37 staff members. Responsible for all accounting and finance functions. The Division had an annual operating budget of $20 million. Disbursements of over $2 billion in dividend, interest and employee benefit payments with cash receipts in excess of $1 billion.

Managed the annual development and implementation of a full-scale investor relations program. Developed and maintained close working relationship with investment community; represented GTE as guest speaker at numerous investment conferences.

Supervised a staff of 12 professionals performing operational audits of GTE telephone and manufacturing subsidiaries in the Western U.S. and Canada. Responsible for hiring, training and on sight audit reviews.

Served as a company commander and battalion executive officer in a basic combat training brigade at Fort Leonard Wood MO.
