Charged with finding manufacturing space for company that decided to be its own second source of products after vendor had issues with building to schedule by Board of Directors and CEO. We found one that had just been signed off under contract, but landlord required to expend significant amount of money for modifications to convert to chip manufacturing; which myself and our realtors convinced ours was a much better deal.I have been involved with several mergers and acquisitions, two IPO's and one follow on offering; two NASDAQ delisting hearings and other NASDAQ actions for meeting capital requirements; multiple private placements with both existing and new/existing investors; sales and purchases of intellectual property, including $8 million sale of patents for ICD wire placement in venous system of heart; sale of domestic distribution rights to St. Jude Medical for $2 million equity investment.

Cfo (Consultant)

Us

CFO Gratis for seed-stage Company with evolutionary next generation technology for product in large disposable market in the medical device industry. There have been no new products in this market for years. The original product is a brutal, tissue damaging procedure that has no current alternative and requires constant hospital staff attention after implantation to attempt to avoid infection. This product has been designed for reducing infection, better wound care and reduction of hospital costs. (Infections caused by hospital/provider will not be reimbursable, so hospital eats the cost of that part of treatment). I have contributed countless hours to the Business Plan, Financial forecast, Cash Flow forecasting, setting up legal documentation - hiring new outside counsel, setting up website, seeking seed funding, interaction with/contact Angel Investors and certain VC's, with an eye toward raising money.

Consulting Cfo And Business Advisor

Start-Up (Stealth Mode)

Advising CEO/surgeon/developer of evolutionary product with novel changes in design, materials and costs. Mainly project-based to set up financials, forecasts, cash flow, raise seed round, help negotiate contracts with vendors and advise CEO on all business matters. All personal capital to date. Close to OUS approvals and filing for 510(k) by mid-summer. High volumes with relatively fast break-even point; product to be manufactured in U. S. Seeking seasoned seed-stage VC investor to provide financial and other business resources. CEO intends on keeping company virtual to reduce cost and red-tape and we have talked to many vendors doing the same for other companies.

Dec 2012 - Jan 2014

Vp Finance/Cfo

CFO for VC funded start-up medical device company that was supposed to have approval and sales ramp within one year to sell. However, things change; we didn't have a reliable supply chain, causing shortages; also responsible for complex forecast/build plan; assist CEO in proposal to Board to expand manufacturing and become our own second source, responsible for finding new facility; negotiating lease and L/H improvements; found a facility with a previous medical device manufacturer moving out, but using a certified clean room that just needed filters and re-certification; HR, IT, facilities, materials and purchasing. Sub-let old space. Series C raised almost $28M. Purchased IP from competitor who was going bankrupt. First start-up for CEO, so it was a teaching/learning experience; after funding completed, realized sales forecast too aggressive; someone gets thrown under the bus. Guess who? Not the worst thing in the world. One year ended up seven with a couple more financing events. VC's only concern was extended time frame for ramp, multiple additional financing's and getting to substantial revenue number. Eventually sold to Covidien.

Aug 2004 - Jul 2006

Senior Vp, Cfo And Corporate Secretary

Us

CFO; did IPO and multiple private placements. Accounting, finance, HR, IT, investor relations, corporate governance issues - NASDAQ listing issues; raised more than $100M in equity, debt and through IP sales and U.S. distribution agreements. Investor relations, authored press releases; SEC reports; Corporate presentations; Road shows and financial conferences. Company failed to obtain FDA approval for differences in data and trials. Because the CEO had told investors that approval was a slam dunk, when we didn't get it there was a sizable sell-off. I mapped out cuts and restructuring which the CEO wouldn't do, so that was an unfortunate end for all the hard work.
