Experienced in house Counsel working in the healthcare industry providing specialist legal employment and commercial advice

Highly experienced Solicitor providing international employment advice to senior stakeholders within the organisation including board members and executives. Focusing on providing pragmatic and commercial advice across the full spectrum of employment issues including employee relations, corporate acquisitions and disposals, discrimination, termination issues and litigation in multiple jurisdictions.

Working closely with the HR department and business unit heads to advise on all aspects of employment law including negotiated exits of senior executives, managing performance issues, recruitment strategies and breach of restrictive covenant issuesReviewing internal HR documentation and updating contract templates (e.g. for both senior and junior staff, secondment agreements and agency agreements) as well as providing regular training to HR in relation to case law updates and practical advice. Updating and devising policies to ensure legally compliant and fit for purpose. Work has included drafting a new Shared Parental Leave policy, assisting with the GDPR and Data Breach policy, and updating the Whistleblowing policy as a result of legislative changes.

AdvisoryAdvising and supporting the Human Resources department. Resolving day-to-day queries regarding sickness absence, disciplinary issues, grievance hearings, restructuring, atypical working and family friendly rights, as well as reviewing company handbooks to ensure all policies are up to date and legally compliant. LitigationAssisting in high court litigation, involving an injunction application and a speedy trial. Acting for an insurance broker to prevent an attempted team move engineered to steal clients and employees in breach of duties of fidelity, fiduciary duties and/or restrictive covenants. Work involved preparing exhibits to witness statements, considerable document management in relation to trial bundles, finalising submission of documents to court, liaising with counsel and attending conferences with both counsel and clients. Acting for various corporates in relation to a variety of employment tribunal cases mainly involving claims for unfair dismissal and discrimination. Work included providing early case assessments, drafting court documents, dealing with disclosure requests, drafting witness statements and providing commercial advice in relation to settlement of tribunal litigation as well as dealing with interlocutory hearings.Corporate SupportProviding employment advice in relation to a variety of corporate transactions including share and asset purchases. Work involved (i) carrying out due diligence, raising additional enquiries on issues arising and preparing a due diligence report; (ii) negotiations and drafting contractual changes to directors' service agreements (e.g. bonus provisions, lock in periods and incentive schemes); (iii) advising in relation to TUPE and the obligations to inform and consult; and (iv) assisting with the drafting and negotiations of the warranties in the corporate agreements.
