My work generally falls into three categories (a) legal work for investors and founders forming companies to commercialize new technologies from universities or research institutes; (b) general business law practice; and (c) co-founder / entrepreneur partnering with inventors to start companies or license technologies. As to the first category, I provide legal services to companies formed to commercialize research from universities or research institutes, investors interesting in investing in those companies, and major corporations entering into transactions involving universities such as patent licenses and sponsored research agreements. Typical transactions include startup financings (VC, angel, strategic, etc), agreements among members of co-founder team, patent licenses, consulting agreements, and merger and company sale transactions. As to the second category I handle mergers, acquisitions and securities transactions for companies of all sorts (not technology or university related). As to the third category I work with university-based inventors who need help with negotiating deals, assessing commercial potential for their technology, developing the business plan, assessing and rounding out the co-founder team and raising money.

In addition to serving as General Counsel to this venture capital - funded Internet radio software company, I also had management responsibilities in business development, human relations and finance.

I co-founded this small business law firm in Westwood, California with two other former Irell & Manella partners.
