 Provide advice and counsel on matters related to a wide range of complex legal issues including, but not limited to, contractual agreements, clinical trial agreements, operations, licenses, intellectual property, governance, employment law, and government contracting. Support business planning and operational activities of research and public health intervention programs (i.e., procurement, award, and purchasing of subaward goods and services), and overall risk management functions of the corporation. Advise PHI staff on legal and/or compliance requirements related to proposals, funding awards, performance of research and public health interventions, outside party agreements (subaward, awards, grants, contracts, MOUs, NDAs, etc.), commercial transactions, teaming agreements and other partnering relationships, commercial sales. Provide information and training to department heads, program directors, and their respective employees about legal matters and compliance, contributing to effective policies and procedures, and offering organizational support for PHI to conduct its activities lawfully and responsibly in the ordinary course of its business.

 Advise various committees, departments, schools, boards, and teams on compliance with laws and regulations governing matters involving business law, intellectual property, contracting, clinical and basic research, and ethics. Review, draft, and negotiate confidentiality agreements, grants, clinical trial agreements, affiliation agreements, data protection agreements, business associate agreements, letters of indemnification, informed consent forms, and other contracts and legal documents to advance health care, education, and research missions of UMMC and other universities, companies, and entities working in partnership with UMMC.  Provide legal support to the Office of Sponsored Programs, Office of Clinical Trials, Human Research Office, Institutional Review Board, Intellectual Property and Commercialization Office, and Office of Integrity and Compliance in relation to the investigation and management of matters related to contracting, research misconduct, compliance, data protection, and data privacy, and the applicable laws and regulations governing the foregoing. Collaborate with others within the institution to ensure compliance with the Common Rule, Food, Drug and Cosmetic Act, Good Clinical Practices as adopted by the FDA, and Stark and Anti-Kickback statutes. Negotiate and collaborate directly with pharmaceutical and device companies, contract research organizations, other universities, outside companies, and federal agencies in order to facilitate the performance of research and development of technologies. Present research related legal updates, or initial orientation, to supported offices and during university-wide trainings and presentations.
