Supported Uptake in several substantive areas, including: Corporate. Corporate governance, strategy (incl. M&A and strategic transactions), and finance / securities matters, as well as corporate issues arising out of international expansion. Privacy and Compliance. Compliance with complex legal and regulatory frameworks, focusing on data privacy and security (GDPR, FTCA, PIPEDA) but including marketing, anti-corruption, and international trade (export controls and sanctions). Employment. All matters related to the employee lifecycle, including hiring and separation, employee benefits, harassment and discrimination, international employment issues, and wage / hour and compensation matters. Transactions. Structuring, negotiating, and advising on inbound and outbound technology-driven transactions, including SaaS, on-prem software, professional services, and similar agreements.

Advised clients on the technology and intellectual property-related aspects of corporate and commercial transactions, including outsourcing, software and system implementation, supply / distribution and procurement, joint ventures and strategic alliances, and software, trademark, patent, and technology licenses. Counseled clients in various industries on the intellectual property and technology aspects of mergers and acquisitions, debt financing, capital markets, restructurings (in-court and out-of-court), and other corporate transactions.

Intellectual Property Litigation and Intellectual Property Transactions GroupsIP Litigation. Conducted legal research concerning civil procedure, pre-trial motion practice, and substantive patent law issues. Assisted IP litigation attorneys with preparation of expert reports and preparing experts for depositions. Drafted pleadings and memoranda in support of significant pre-trial motions, including motions for summary judgment and a motion to dismiss under FRCP 12(b)(6).IP Transactions. Conducted legal research concerning substantive contract issues, including sole and exclusive remedies and implied covenants of good faith and fair dealing. Assisted with the negotiation of certain IP licenses and commercial agreements (including master services agreements and related statements of work).

Allegheny County Criminal Court of Common PleasAssisted criminal court trial judge with legal research and analysis regarding petitions for post-conviction relief and drafted bench opinions regarding same. Observed criminal trial proceedings, including jury and bench trials, evidentiary hearings, and other pre-trial motion proceedings.
