I am a partner in the Investment Management and Trading department, with experience in a broad spectrum of international corporate projects across a diverse range of industries, including: venture capital, private funds and investment management; and HNW and private client. I regularly advise clients on their domestic and cross-border transactions, including venture capital investments and financings; mergers and acquisitions; joint ventures and strategic partnerships; reorganizations and restructurings; and general commercial matters. I also regularly advise public and private companies, sovereign entities, and private investors on matters involving the U.S. securities laws, including securities offerings under Regulation D, Regulation S, Rule 144A and other private placement exemptions, as well as compliance with SEC and stock exchange reporting and disclosure requirements. In the investment management sector, I assist investors and private fund managers on matters including domestic and offshore fund formation, investment screening and ongoing U.S. regulatory compliance.In the energy and natural resource sector, I have particular experience in structuring and developing public bid tenders for oil and gas reserves, exploration and production sharing contracts and related infrastructure development agreements, as well as advising governments and oil and gas regulatory authorities on contract administration and oversight.I am admitted to practice in New York.Specialties: Venture capital, private funds and investment management, state and federal securities law, mergers and acquisitions, general corporate law and commercial matters, energy and natural resources.
