I represent venture capital and private equity funds in connection with their investment activities and counsel venture capital and private equity funds on their day-to-day operations. In addition, I enjoy working with and representing entrepreneurs and venture-backed companies from formation through exit.

I managed and oversaw operations. In conjunction with the fund's General Partners, I developed firm strategy, negotiated and executed investments, managed exit transactions, coordinated fundraising and oversaw the fund's legal, compliance, financial and tax advisors.

I represented start-ups and venture backed companies with their formations, equity and debt financings, as well as counseling management and boards of directors on fund-raising, employment issues, commercialization strategy, fiduciary duties and other matters. I also regularly represented venture capital investors in private financings in a broad range of industries. In addition to my general corporate practice, I spent a significant portion of my time working with later-stage investors, buyers and sellers on exit transactions and liquidity programs including executing domestic and international buyout, merger, acquisition and tender offer transactions. My international experience included transactions in Russia, Turkey, Nigeria, India, Indonesia, Brazil, Israel, the U.A.E. and the U.K.
