In this role, I supported the General Counsel and Vice-President of Legal & Contracts with internal corporate restructuring. I transferred corporate contractual rights and obligations to a subsidiary of Thales Canada in anticipation of the sale of its ground transportation division. I reviewed foreign and domestic Statements of Work, Requests for Proposals, Procurement Agreements, Sub-Contracting Agreements, Master Services Agreements, Customer Service Agreements, Engineering Licenses, IT Software Licenses and Purchase Orders to assess, among other things, continuing legal obligations, change of control restrictions, assignment restrictions and anti-corruption provisions. I advised corporate stakeholders on the appropriate means of transfer by way of Assignment or Novation. I drafted approximately one-hundred (100) Novation Agreements in addition to various Notices of Assignment. I liaised with the Procurement Department, Suppliers and their counsel to facilitate the execution of Novation Agreements. I maintained a Contracts Database in accordance with Thales record retention policies. Finally, I amended Thales General Terms & Conditions.Reason for Leaving: Contract was Completed.
