Collaborate with the global executive business teams to independently and strategically lead, create, protect, expand, defend and monetize brand equity by leveraging all forms of intellectual property (trademarks, trade dress, trade secrets, copyrights, design patents, and utility patents) and hands on negotiation, drafting and review of transactional matters (commercial agreements, SAAS, PAAS, marketing, advertising, service, consulting, retail lease, construction, staffing, and licensing). Proactively develop, implement, review, and revise forms, procedures, and processes to improve the contracting, procurement and IP processes.

Strategically partner with the private equity businesses (real estate, life sciences, health care, growth equity) to review, draft, negotiate and consummate a large volume of complex corporate contracts, including non-disclosure and confidentiality agreements (NDAs), engagement letters, and non-reliance letters for sell-side, buy-side, M&A, financing opportunities, deal structure, capital fundraising, corporate and tax due diligence. Managed team of 10 remote attorneys. Provide high value, independent IP support to business teams by advising on on strategic collaborations and licensing agreements including conducting robust IP due diligence, preparing resulting analyses and providing meaningful input into relevant portions of transactional documents and negotiations.

Partner with the business to identify risks and provide business-friendly solutions on a variety of complex IP challenges in the global chocolate and CPG industry.

Management of the Company’s intellectual property interests with a focus on Hatch-Waxman patent litigation.

Counseled and litigated patents, copyrights and trade secrets relating to financial services, computer programs, consumer products, medical devices and pharmaceutical; and counseled on HSR filings.
