Sam is a Partner for Themis Underwriting, a niche MGA focusing on delivering insurance and risk solutions for transaction liability risks, including warranty & indemnity insurance, tax liability insurance and specific risk insurance. Sam is the Head of EMEA for Themis and is also a qualified corporate lawyer.Prior to joining Themis, Sam was the Corporate Counsel for Neon Underwriting, where he was the key lawyer responsible for corporate projects and initiatives, including M&A, investments, start-ups, structuring advice, and insurance linked securities matters. He was a member of the core ILS and alternative capital team, advising on ILS structures, responsible for overseeing the day-to-day operations of Neon’s ILS vehicle, NCM Re UK, and implementing Neon’s ILS strategy. He was also heavily involved in the Corporate Strategy team, working on projects where in addition to his legal focus he provided commercial and business advice on both origination and integration aspects of M&A/start-up projects and general input in relation to broader initiatives for the business, as well as supporting overseas subsidiaries.Prior to this, Sam spent over four years practising as a solicitor for Ince & Co LLP working in the corporate and insurance business groups on non-contentious matters. His practice there was based on corporate, transactional and commercial work, including M&A, restructuring, joint ventures, start-ups, other transactional work, regulatory matters and general commercial matters, with a primary focus on the insurance sector. Sam also advised both insurers and insureds on Warranty & Indemnity insurance policiesPrior to joining Ince & Co, Sam spent almost 6 years working in varied roles for Aspen Re, a global (re)insurance company, mostly spent working in the corporate legal team, focusing on SEC regulatory matters, corporate finance, corporate governance and general commercial issues.
