§   Company Secretariat & Corporate Governance Management – manage the affairs of the Company Secretariat of GACN·       Identify and communicate strategic and tactical ideas for the continuous improvement of Corporate Governance for GACN·       Ensure the effective organization of Statutory and Regulatory Meetings·       Manage the maintenance of Statutory and Regulatory books§   Set up a regulatory watch for the Board and the Company at the CAC, Federal Ministry of Petroleum Resources, Department of Petroleum Resources etc and ensure compliance with all Corporate Governance impacting on the operations of GACN with regular updates to Management.§   Ensure the rendering of statutory returns by GACN and its entities in compliance with relevant regulations in Nigeria.§   Manage the activities of the Company Registry.§   Research and maintain a working knowledge base of shareholder issues, including regulatory, disclosure, proxy and corporate governance and shareholder-related concerns:·       Ensure the discharge of all relevant statutory responsibilities relating to statutory functions by the Board and the Company·       Develop and maintain relationship with the external stakeholders on Corporate Governance, NSE, SEC and Society of Corporate Governance, CAC etc. and ensure the GACN is positively projected.

 Lead legal counsel Deepwater Project Organization in Nigeria and for the Bonga South West Project (a project that will deliver over 3 billion barrels from 8 deep water turbidite reservoirs) Providing Legal support to the Deepwater Project Organisation relating to Investment proposal and Major Tender Board Submission reviews. Actively participated in Deep Water Project Leadership Team Meetings, Project Workshops and contributed to ITT Preparation, review and Joint Evaluations for BSWA project. Proactively supported Contractual Claim management for EPC contracting claims. Providing advice to Project Team on NCD obligations and reviewed and responded to stakeholders Communication. Providing legal advice on contracting and commercial issues arising from the Deepwater and Operated Wells Organization in Nigeria  Supporting the Ethics and Compliance organisation with Internal Due Diligence Red Flag Mitigation and facilitating face to face Anti-Trust Training to identified Front line staff

Reviewed tendering and post-tendering processes, procurement and contracting services and on-going implementation support for Major contracts for Onshore facilities, Minor Contracts, Service contracts and power projects. Evaluated claims from contracts arising from Shell Eastern Division Operations. Prepared and reviewed agreements which include, Confidentiality Agreements, Side letters, Letter of Intents, Heads of Agreement, etc. Legal support to the business in respect of criminal investigations by the Police/ EFCC involving a SCiN or a member of staff. Mediated at objection hearings in furtherance of applications for the grant or renewal of OPLs.Negotiated the Shared Services Agreement in support to the western asset divestment project.

Coordinating legal support to the NLNG Train 7 Project.Coordinating support for the implementation of Nigeria Content Act requirement for the Global Businesses in NigeriaCoordinating legal support to the Project and Technology organization accountable for all technical aspects of the projects, including engineering and design, procurement and construction, contract management, settlement of change orders and warranty claims. Maintain close interface with lawyers in Upstream International and Downstream who support the legal work relating to the other aspects of the project (Government, partners, feedstock, offtake and procurement)Preparation of Contracting Principles and Contracting and Procurement Training Matter. Certified Trainer for Human Rights, Anti Bribery and Corruption and Anti Trust. Drafting and negotiation of Umbilical Fabrication Enterprise Framework Agreement with vendors in support of the Enterprise Categories Suppliers Projects. Managed the drafting and negotiation of the Construction Contracts for New Technology Centre in Asia with the Pre construction Services and Main Contractors

Provided support to the Board of Trustees relating to management of the Trust Fund and managed the interface with Shell Trustees (Nigeria) Limited, Beneficiaries of the Trust Deed and the Community.Successfully completed the construction of the remodel community open market funded by Shell Trustees (Nigeria) Limited.
