Second in command (functional General Counsel reporting to CLO) responsible for day to day operation of Legal Department of publicly traded Fortune 200 company with revenue of approx. $20B. Broad legal knowledge and experience, including Contracts, M&A, Risk Analysis/Mitigation, Litigation. Contracts - Negotiated wide variety of contracts in US, Europe, and Asia with customers, partners, and suppliers in a range of industries, including healthcare, automotive, consumer products, industrial, telecom, enterprise/infrastructure, packaging, aerospace & defense, smart devices, energy, supply chain & logistics. Served as escalation point to resolve issues during negotiations.Mergers & Acquisitions - deal strategy & evaluation, due diligence, negotiation of asset sale and stock purchase transactions in the US and overseas, post-Closing integration. Created post-Closing protocol.Risk Mitigation – Proactively analyzed risks and advised on mitigation to support achievement of business objectives. Crisis management & business continuity planning, e.g., confidentiality breaches, cybersecurity issues, force majeure events, allegations by NGO’s.Corporate - Reviewed SEC filings, including risk factors; supervised SEC Compliance paralegal; created record retention policyLitigation – Actively managed all litigation & outside counsel for the company. Created response protocol to use in the event of claim, lawsuit, or investigation. Responded to SEC inquiry and subpoena. Responsible for quarterly reporting to external auditors. Implemented new on-line reporting system for claims and litigation (globally) which won "best process improvement" award from Serengeti/Thomson ReutersLeadership - Established, managed and mentored teams in US, Europe, and Asia. Regularly collaborated with cross-functional & multi-cultural teams. HR/Compliance - Investigations, separation agreements, policy creation, terminations, non-solicitation and non-compete terms.
