About Samuel Combs Iii

As a business strategist, board director, investor, and former Fortune 500 C-suite executive with over ten years of public boardroom experience, I have 30+ years in general management creating value in capital-intensive, infrastructure-oriented, consumer services, and regulated industries. Previously, I served as President of ONEOK Distribution Companies and was privileged to lead a 3,000-person team; and the $3 billion asset, $2.2 billion revenue, natural gas utility reporting segment of ONEOK, Inc., a Fortune 500 natural gas, and gas liquids midstream infrastructure and energy services company. We reported multiple years of record profits, cash-flows, and growth in returns-on-capital invested while positioning the segment for spin-off as ONE Gas, (NYSE: OGS). It was among the nation's largest utility operators serving over two million retail, commercial, industrial, public-authority, and electric generating customers across multiple states and regulatory jurisdictions. While leading the strategy and operations, I regularly reported to our corporate board and on quarterly earnings calls. I gained valuable early experience in aviation, manufacturing, and telecommunications. Also, I am an advocate for ES&G principles and natural gas as competitive solution for carbon reduction.As an independent director of First Fidelity Bank, a $2.5 billion financial provider in Arizona, Colorado, and Oklahoma; serve on their Audit and Compensation Committees; and chair the Governance Committee. Also, I am an independent board member for INTEGRIS Health, a $2.2 billion healthcare system and serve on theIr Finance, Audit & Compliance, and Investment Committees. As a gubernatorial-appointed Trustee of Tulsa Community College, I am past board chairman; serve on the Finance, Risk, & Audit Committee; and chaired Facilities & Safety. Also, I am a principal and executive committee member of the WNBA Dallas Wings and served on the WNBA Board of Governors. My memberships include the NACD and Executive Leadership Council. I have completed the Directors’ Consortium Program at Stanford University; and am currently pursuing certification in cyber-security oversight. As Founding Partner & CEO of a leadership advisory and private investment firm, I oversee alternative investments in sustainable energy, financial services, manufacturing, healthcare, infrastructure, and real estate development. My volunteer boards advance community and economic development, and I have sought to engender trust as a steward of shareholder, corporate, not-for-profit, and natural resources.

The highlight achievements of his tenure was one, the "turnaround" of the business unit and restoration of the company’s profitability from an era of low morale and an inherited financial loss the previous year. Two, the negotiation and settlement of two longstanding regulatory issues that had damaged the Company's reputation and muted financial performance for nearly ten years. Primarily, this second achievement was accomplished by more efficient operations and the negotiation of a landmark “Global Settlement” of two gas purchase "cost recovery" issues with the Oklahoma Corporation Commission. The first, the result of a $54 million gas cost recovery disallowance inherited from the previous year and it's accompanying earnings loss; and the second, a nearly ten-year old cause related to a long-term gas supply contract with a potential negative impact estimated at $200 million. Initiated the "reset" of settlement discussions and led the Company’s negotiations to a full and “Global Settlement" on both matters in less than eight months. The Global Settlement was valued at $34 million, consisting in-part, cash plus the future value of certain gas supply contracts. The landmark settlement's effect was to, eliminate the risk of a much larger and more punitive judgement; pave the way for repairing erosion to the corporate brand; and, improve relations with regulators to a level necessary for introducing future revenue-enhancing rate cases.
