HEALTH & DENTAL TRANSACTIONS• Manage transactions, e.g., retiring dentist’s sale of orthodontic practice to Associate employee, physician’s buy-in as partner of concierge medical practice, and structuring of management services agreement between practitioner and non-practitioner business partners • Assist with large-scale transactions, e.g., regional hospital network’s acquisition of community hospital, national organization’s acquisition of pain management clinic with multiple Massachusetts offices, and sale of Massachusetts dental practices to multi-state Dental Services Organization• Prepare and review Letters of Intent, Purchase Agreements, restrictive covenant agreements, partnership agreements, commercial leases, physician and dentist employment agreements, medical records custody agreements, and other deal documents• Negotiate key terms of deals including purchase price, scope of restrictive covenants, and transition matters• Coordinate Closing efforts and action items amongst buyers, sellers, opposing counsel, CPAs, and lendersREGULATORY, GOVERNANCE, AND PAYER DISPUTES• Advise healthcare providers on compliance with Massachusetts DPH, DoN, clinic licensure, and MassHealth regulations and federal law including HIPAA and the Anti-Kickback Statute• Develop corporate governance plans including the drafting of bylaws and operating agreements• Represent healthcare providers in reimbursement disputes with public and private third-party payers, e.g., ambulatory surgery center’s appeal of $1.4mm adverse finding (Medicare) and obesity treatment clinic’s appeal of $900K adverse finding (private insurer)NON-PROFIT ORGANIZATIONS• Direct non-profit corporations’ applications for 501(c)(3) or 501(c)(6) tax-exempt status and registrations with state Attorney General’s Offices• Advise on regulatory matters including establishment of executive compensation and dissolution of public charity with remaining charitable assets

• Defended national and international corporations in product liability, premises liability, and personal injury cases• Managed all aspects of litigation, from the inception of a case through settlement negotiations and/or trial • Researched, wrote, and argued civil motions including motions for summary judgment and discovery motions
