FACILITY AND REAL ESTATE ACQUISITIONS - Represented hospital in acquiring several parcels of land for development of additional clinics and healthcare programs. - Represented skilled nursing operator in $62.7M acquisition of 6-facility portfolio of skilled nursing facilities in connection with larger $700M portfolio sale. - Represented skilled nursing operator in $6.1 million purchase of its leased facility. LEASING- Outside real estate counsel for several hospitals, skilled nursing operators and other health care providers, handling the drafting and negotiation of hundreds of leases, including facility, medical office and ground leases. - Represented hospital in negotiation and drafting of $36M long term lease for development of new hospital campus medical office building. - Represented national health system in negotiation and drafting of $24M long term lease for rural hospital.M&A AND AFFILIATIONS - Representation of health systems with physician practice acquisitions for development of outpatient department, foundation and other clinic locations consistent with corporate practice of medicine and regulatory issues. - Representation of healthcare district with ambulatory clinic strategy and implementation. FINANCINGS - Represented hospitals in HUD financings ranging from $17M to $200M, including construction financing for a new hospital patient tower.- Borrower’s counsel for CCRC in connection with $105,515,000 public offering tax-exempt bond financing transaction through the CHFFA- Represented nursing home chain in $60M secured financing ($30M revolver and $30M term loan). The American Heart Association’s Go Red for Women initiative provides a platform for women and their families to lead healthier lives, and drive collective action for community transformation, including through its Stem Goes Red program for high school girls, which aims to create the next generation of women STEM leaders. As a member of the Go Red for Women Executive Leadership Team, I work with the AHA on outreach to promote these efforts.

AHLA is the nation’s largest, nonpartisan, 501(c)(3) educational organization devoted to legal issues in the healthcare field, with nearly 14,000 members and several specialized subgroups, including its Real Estate Affinity Group. As a member of the Real Estate Affinity Group’s leadership, I helped to facilitate and coordinate webinars, articles and other educational content to further the group’s mission of providing useful and usable real estate and leasing compliance tools for AHLA members, and to provide a forum for education and collaboration.

Women in Health Administration of Southern California (WHA) is a nonprofit professional association for women healthcare leaders that provides a forum for professional growth and career development, creates opportunities for quality networking and personal growth, and raises awareness and understanding of current healthcare issues. As a former member of the WHA board, I helped to organize several WHA educational and networking events, and also assisted with sponsorship efforts.

Vital Options is a nonprofit 501(c)(3) corporation formed in the 1980’s as a Los Angeles based support group for young adults with cancer. It since evolved into an international patient advocacy organization with an expanded mission of supporting patients, caregivers and their families across all chronic and life-threatening illnesses. Prior to law school, I was an administrative volunteer for Vital Options, and later joined the Board and helped with the transition of the organization following the passing of its founder, Selma Schimmel.

- Primary counsel representing real estate development companies and other investors in the acquisition, financing, development, construction and leasing of multiple shopping centers, including acquisitions of $47M shopping center, $36M office building, $18.2M apartment complex, and upscale restaurant sublease valued at $9.5M.- Negotiated and drafted facility use agreements with various governmental agencies on behalf of non-profit social services agency client.- Advised a Southern California school district on compliance matters related to bids for public construction projects.- Successfully negotiated leases with several national chain operators, including Starbucks, CVS, Verizon Wireless, 7-Eleven, and Enterprise Rent-A-Car.

- Represented Verizon in its western U.S. real estate matters, including telecom, retail and officeleasing, as well as real property acquisitions and dispositions.- Represented NASDAQ-listed company in its national leasing and acquisition program for the development of fiber-optic network.- Represented NYSE-listed REIT in its disposition of $18M mixed-use retail/office/industrial park and a $9.2M office building in Southern California.

- Represented self-storage company in its acquisition, development and financing of multiple self-storage facilities throughout California, Arizona and Nevada.- Represented Los Angeles World Airports (governing body of LAX) in acquisition of numerous commercial and residential properties, and lease-backs where applicable, as part of noise mitigation program.

- On behalf of a chain of child and intergenerational day care centers, negotiated and drafted asset purchase agreements, facility and equipment lease agreements, and service agreements in connection with multiple day care centers.- Collaborated with outside counsel in drafting portions of initial public offering and subsequentcorporate SEC filings.- Served as Corporate Secretary.
