AT DECHERT LLP:I advised U.S.-registered investment companies, their boards of directors and independent directors as well as investment advisers, broker-dealers, fund administrators and other financial services institutions in a variety of regulatory and general corporate matters, with a particular emphasis on international asset management and investment fund matters. I also was the head of the firm's Global Energy Practice Initiative. My areas of concentration included investment fund management, capital markets regulation, corporate governance, mergers and acquisitions, domestic and international equity and debt offerings, and general corporate matters. I also advised independent directors and special committees of boards of public companies, including with respect to transactions involving controlling shareholder-sponsored buyouts, financings and related party transactions, and other situations involving potential conflicts of interest and affiliated parties. I have significant experience acting as a legal consultant to foreign regulatory agencies on securities and capital markets law and regulation and in advising foreign stock exchanges, central securities depository institutions and international securities industry associations.I am a retired/inactive member of the District of Columbia and New York State Bars. I was also admitted to practice before the U.S. Court of Appeals for the District of Columbia as well as the U.S. District Court for the District of Columbia.
