I'm an experienced transactional attorney with extensive experience representing clients in a myriad of business transactional matters, including mergers and acquisitions, financing transactions, contracts, compliance, corporate governance, licensing transactions, real property transactions and employment matters.Contracts: I negotiate and prepare an extensive array of legal agreements, including, to name a few, distribution and sales agreements, employment agreements, licensing agreements, independent contractor agreements, waivers and releases.Corporate: I advise clients with respect to entity selection; form companies and prepare operating agreements and bylaws; negotiate and document mergers and acquisitions; negotiate and document agreements with third-parties, including licensing and distribution agreements; handle corporate governance matters; advise clients with respect to internal matters and handle stock redemptions and issuances, grants of stock options, and prepare employment and independent contractor agreements; and negotiate and document stock and LLC interest purchase agreements and related documentation.Real Property: I prepare and review commercial leases and purchase agreements; review and advise clients with respect to title reports; prepare deeds and easement agreements; form property owners' associations and prepare their declarations of covenants, conditions and restrictions; and negotiate and prepare tenancy-in-common agreements.Employment: I advise clients with respect to laws regulating employee classification as exempt v. non-exempt and employee v. independent contractor, and with respect to overtime laws, reasonable accommodations, drug testing and other matters; prepare employee handbooks and anti-drug policies for clients; and conduct client's required anti-sexual harassment trainings, as well as trainings on union avoidance and reasonable suspicion drug testing.
