Since starting my own firm, I have advised a variety of clients in the pursuit of strategic business transactions as well as in the handling of issues that business leaders address on a daily basis. I have represented clients in the acquisition of Texas assets in multiple unaffiliated transactions, in the agreement to swap oil and gas acreage in the Marcellus Shale play, in the redemption of equity interests by a oilfield service company, in the purchase of equity interests by a controlling member of an LLC, in securing an equity investment by a strategic partner, and in the consideration and analysis of various similar transactions as part of a business's internal corporate strategy. I also spend a significant amount of time advising my clients on the management issues that arise on a regular basis. This may involve negotiating commercial agreements with customers, consultants or contractors, the review and negotiation of loan or credit agreements, drafting internal policies and corporate governance documents and advising on employment issues and drafting employment-related documents, such as employment or confidentiality agreements, incentive compensation programs and separation and release agreements. In addition to serving the energy industry by representing upstream and midstream operators and energy service companies, I also represent clients in various other industries, such as tech, food, retail, real estate development, water treatment and professional services.

As a corporate associate for Shearman, I advised numerous energy-sector private equity funds on a variety of issues, including the formation and governance of multiple portfolio companies and the eventual exit of such investments by sale, merger or reorganization. I also advised upstream and midstream energy companies, as well as energy service companies, on many of the issues that confront management on a daily basis, such as the negotiation of commercial contracts, entering into credit and debt agreements, drafting corporate governance documents and handling various employment issues, such as employment agreements, incentive compensation and separation and release agreements. I also had the opportunity to assist our international offices by serving as local counsel to Japanese limited partners in domestic private equity funds, to European financial institutions establishing strategic relationships in the US and to other international clients as well.

During my time with TK, I focused my practice on serving private equity funds in the formation of portfolio companies and in accomplishing an exit from such investments. I worked on multiple sale transactions involving the sale of upstream and midstream assets in various domestic oil and gas plays as well as transactions structured as equity sales or strategic mergers. I also assisted PE funds in their management of portfolio companies by preparing board-related documents, employee agreements and incentive programs and other documents or agreements relating to the PE-management structure.

While working for PDC's accounting team, I performed monthly, quarterly and annual review and analysis of various aspects of the Company's expense and capital cost structure, including performing critical reviews of G&A expenses and drilling and completion costs. I also spent a significant amount of time developing the Company's internal audit program of its non-operated working interest properties, including performing annual audits of multiple third-party operators. Additionally, I worked as part of a cross-departmental team to automate the Company's well payout tracking process and the eventual development of a new software program to facilitate these efforts.

At the beginning of my law practice, I spent a significant amount of time working with private equity funds on their fundraising efforts. I worked on the formation of numerous multi-billion dollar private equity funds for both upstream and midstream investments. As part of the fundraising process, I assisted in the negotiation of the principal fund limited partnership agreements and investor side letter agreements, the review and collection of all investor subscription agreements, the drafting and documentation required to form the fund structure and the daily communication with fund management and the investor relations team to facilitate an organized process. I also spent a significant amount of time advising the board of directors of a new publicly-traded energy company. I assisted the board and its committees in preparing meeting agendas and minutes and committee charters and checklists aimed at ensuring compliance with applicable exchange rules. I also assisted in the preparation of required periodic filings with the SEC.
