  My practice focuses on both buy-side and sell-side M&A and private offerings throughout the lifecycle of a company. While I love deal work, I also still get a lot of fulfillment from advising start-up founders and seed investors on the nuts and bolts of early stage corporate financing and governance. My clients include companies across a spectrum of industries, from consumer retail to manufacturing to technology, and my favorite part of my practice is being able to learn about new and exciting innovations! As Practice Leader for the Cannabis Practice, I have developed a particular interest in, and experience with, the emerging cannabis industry. I represent companies in the medical, recreational, and hemp industries and frequently work with entrepreneurs and stakeholders to develop sustainable, thoughtful, and compliant business structures and financing plans. This focus on compliance focused structuring has also led me to develop an expertise in AML/KYC and CFIUS issues as they arise in the course of a transaction, which is an area of law that with recent changes to the regulatory landscape and availability of US private funding, is becoming a larger focus for many companies as they ramp up toward investment or exit.
