Advised technology, software, life science and healthcare companies on commercialization of intellectual property assets, including counseling with respect to strategic alliances, technology acquisition, licensing and other corporate partnering transactions, and structured and negotiated such transactions.REPRESENTATIVE TRANSACTIONS:Structured and negotiated a multi-million dollar transaction on behalf of a large hospital system for procurement of an enterprise-wide data warehouse system and associated implementation, as well as a related development collaboration.Represented a world-renowned academic medical center in negotiating a collaboration and license agreement with a multi-national biopharmaceutical company to develop and commercialize cancer-directed antibodies in a transaction that was the largest transaction in the institution’s history.Provided counseling on commercialization strategy to a company offering a cloud based clinical trial management solution and structured, drafted, and negotiated resulting technology license agreements with major pharmaceutical companies and contract research organizations.Represented a state agency in negotiation of an outsourcing transaction for development, hosting and ongoing maintenance of its health insurance exchange.

Advised technology, software, life science and healthcare companies on commercialization of intellectual property assets, including counseling with respect to strategic alliances, technology acquisition, licensing and other corporate partnering transactions. Acted as outside general counsel, advising clients on both the legal risks and business implications of pending deals. Drafted and negotiated licensing, collaboration, development, supply, distribution, marketing and other commercial agreements. Was frequently in the position of representing small startup companies in transactions opposing fortune 500 companies, where a business-focused, practical approach is key to closing the deal.
