Fiber Plus Industries Ltd is a listed company and is the Holding Company of Fiber Plus LLC, Dubai, UAE engaged in manufacture & Trading of Regenerated Polyester Staple Fiber. The Group has its manufacturing base in Dubai and is planning to set up a manufacturing facility in Gujarat, India. Reporting to the stakeholders, I was heading the Compliance and Corporate Governance functions of both the Indian and UAE entities, RBI matters, Secretarial, Legal & Finance functions, Statutory compliances, besides handling the entire Merger process (including compliance of the pre-merger and post-merger formalities) and acquisition of land for the proposed project, liason with Government for change in land use, Pollution Control clearances etc.

VME Precast Pvt Ltd, the flagship company of the Group is funded by Indian Promoters, Private Equity Fund and Foreign Collaborator. The company enjoys banking facilities with a leading Nationalised bank, besides funded by a ECB loan from a Foreign Financial Institution. The Realty wing has been funded by a leading NBFC in India. Reporting to the stakeholders, I was responsible for the following functions:Statutory Compliances, Secretarial & legal functions, Coordination with Stakeholders & Lenders on various Corporate Governance matters & Compliance of various covenants. Structure, Raise & Monitor long-term & Short-term finances and work in close coordination with banks & financial institutions (both in India & in abroad), preparation of finance proposals, CMA Data etc., Assess working capital requirements & structure fund-based & non-fund based facilities. Cash Flow & Treasury management. Handle legal matters (both litigation based & non-litigation based), Legal documentation, Commercial Contracts, Review of Purchase Orders & Work Orders and handle Arbitration matters.

Joined Pyramid Saimira Group in India and handled the FCCB issue of Pyramid Saimira Theatre Limited & listed the bonds in Singapore Stock Exchange.Converted Pyramid Saimira Production, a Partnership Firm into Pyramid Saimira Production International Limited under Part IX of The Companies Act, 1956) and was deputed to handle the Secretarial, Legal, Finance and Compliance functions of the converted entity.Promoted and transferred to Malaysia to Head the International Operations of the Pyramid Saimira Group with revenue responsibilities for the Exhibition & Distribution activities in Malaysia, Singapore, USA & China operations.Restructured the Malaysian operations by reviving the Exhibition business by agglomerating screens in prime locations across Malaysia & operated a ‘Debt-Free’ Profitable business – a once ailing business that was on the verge of closure.Successfully raised ‘Debt Funds’ in the International Market for the Distribution business of the Group.

Responsible for Statutory Compliances & Corporate Governance of all the entities in the Group spanning over 7 Countries viz., India, UAE, China, Sri Lanka, Hong Kong, Mauritius & Malaysia.Responsible for evaluating new project initiatives of the Group and capital structuring vis-à-vis the applicable laws in different countries. Set up the Aviation Division engaged in acquisition of used commercial aircraft and lease to commercial airline operators across the globe. Responsibility includes negotiation of Term Sheet & Financial closure with leading banks in London for acquisition of used commercial aircraft (with leases attached) from International Airline operators. Worked closely with Top International Law Firms for concluding shareholder agreements & various cross-border contracts

Headed the Corporate Consulting Division of Zen & Art in the UK, a consultancy company specialising in providing Project Finance, legal & Management Consultancy Services, UK VAT for various clients across UK & Europe.Raised funds from UK commercial banks for emerging businesses in the UK aggregating GBP 250m. Worked with Leading International Law Firms on Project Finance related assignments and cross-border transactions.

Handled the Secretarial, Legal, Finance, Banking & Taxation functions and raised funds for the expansion project thro’ Debt & Equity and listed the Company in Indian Stock Exchanges.

Worked with ‘Tatia Group of Companies’, a Chennai based business house with interests in Textiles, Leisure & Financial Services as ‘Group Company Secretary’ – Handled IPO’s for 3 entities of the Group and completed listing of 1 entity in a record time of 7 days in Indian Stock Exchanges.

Worked with ‘Kabra Agro Industries Limited, Bhopal’, a BSE listed Company engaged in Solvent Extraction of Refined Oil as ‘Company Secretary’ – responsible for Secretarial, legal & finance functions. Saw through the entire cycle of Industrial Rehabilitation & Revival by implementing a revival Package approved by the Board for Industrial & Financial Reconstruction (BIFR).
