- Review and draft contracts/agreements, coordinate with all internal responses from Engineering, Construction, Procurement, Project, Finance, Human Resource, IT, Transport etc and provide redline comments;- Coordinate with HQ at Japan and ensure all reports required by HQ to be prepared and submitted to HQ on time;- Draft, evaluate and participate in the negotiation and execution of business/operational documents such as Letter of Intent, Letter of Award, Memorandum of Understanding, Non-Disclosure/ Confidentiality Agreement, Joint Venture Agreement, Consortium Agreement, Partnerships, Performance Bond, Guarantee Letter etc) and provide redline comments;- Provide legal advice and/or opinion on various legal issues to the Top Management and ensure contracts, guidelines and policies made are in compliance with standards and laws;- Establish and revise guidelines and/or policies of the organization eg: “Anti-Bribery & Anti-Corruption under the Section 17A of Malaysian Anti-Corruption Commission Act 2009, Compliance Manual, “Application of e-signature in business documents” etc; - Assist with miscellaneous legal matters (local regulatory, employment, corp sec etc.) and projects ;- Manage internal documents of the Organization eg. Directors' Resolution, Shareholders' Agreement, deal with the Company Secretary etc;- Review company activities, identifying potential litigation issues and acting to address the same;- Support and manage litigation for the organization;- Assist with the ISO 9001:2015 Internal Auditing; and- Undertake other ad hoc duties/tasks as required.
