During this period I worked on developing my own tax planning ideas, mainly for the corporate sector. In particular:- Capital Loss Planning – an idea for a company to claim tax relief when selling a trading company at a capital loss. This is not normally possible under the substantial shareholding rules.- IP tax planning – an idea for accelerating tax relief on patents under the capital allowance rules. - Other projects included designing a fund investing in mature intellectual property assets, providing investors with a tax efficient income. The intention was to model this idea on the US/Canadian oil and gas royalty trusts.

I was the Tax Department’s first Professional Support Lawyer (“PSL”). In order to being structure to the role, I initiated the discipline of producing monthly worklists and reports on my activities to the partners and to the department as a whole.I produced knowhow material on a wide variety of topics, including corporate M&A, business sales, reconstructions, owner managed business issues such as taper relief, property and hedge funds, stamp taxes and VAT. I also arranged and took part in training sessions and answered fee earner queries as part of my normal PSL duties. As well as contributing to the tax section to the firm’s regular Corporate News updates, I initiated the practice of producing standalone tax newsletters. These were circulated to clients and also displayed on the firm’s website. This was also the first occasion that the Tax Department produced a Budget newsletter.I also provided a considerable amount of legal analysis and advice on real estate investment trusts (“REITs”) a fund vehicle that was introduced into the UK in 2007. In particular, I contributed to client pitches, took part in internal training sessions and produced client newsletters and internal technical notes including: - An analysis of the impact of REITs on M&A/real estate transactions;- Analysis of CGT issues and some tax planning ideas for when a REIT converts to a normal company;- Issues for overseas US investors as part of the firm’s marketing to US law firms.
