As a core deal team member, I actively participated in SPAC selection, valuations, deal structuring, financial and tax due diligence with the SPAC and PIPE investors, responsible for financial statement audits, S-4 filings and obtaining SEC clearance.• Worked with FP&A in formulating the Company’s forecasts and annual operating plan & performing 409A valuations (pre- IPO).• Responsible for setting up and managing stock administration function, including compliance and reporting. • Responsible for company-wide direct and indirect tax compliance and filings.• Manage all aspects of operational accounting, including preparation of financial statements in accordance with US GAAP.

On June 19, ON Semiconductor Corporation (NASDAQ : ON) acquired Quantenna Communications for an equity value of $1.07 billion (approximately 5x of QTNA's 2018 revenues).• Led the financial and tax due-diligence in the direct sale process of the Company to ON Semiconductor Corporation, with an equity valuation of $1.07 billion.• Scaled Quantenna through a successful IPO with an enterprise valuation of $550 Million, and raised $107 million.• Led the design and implementation of a global tax structure resulting in increased shareholder value and cash flows.• Set up and manage the treasury function, negotiating lines of credit, implemented foreign exchange hedging strategies, managing the Company’s investment portfolio.• Responsible for formulating the Company’s forecasts and annual operating plan, and performing 409A valuations.• Set up and manage onsite-offshore resource framework, including setting up new entities worldwide. • Set up and manage stock administration function, including compliance and reporting.

DCG Systems is the leading supplier of equipment that enables localization and characterization of electrical faults in integrated circuits, packages and board assemblies. DCG tools are used worldwide throughout the electronics product life cycle, to accelerate technology development, yield engineering and failure analysis. The Company was profitable and growing throughout its 7 year history, when it was acquired by FEI Company (NASDAQ: FEIC) in December 2015.• Key member of the Company’s core M&A team. I was involved in identifying targets and perform acquisition due diligence. During my tenure, we successfully completed three acquisitions, which resulted in enhancing the Company’s revenue and profitability by over 50%.• Partnered with the CEO and CFO in direct sale process of the Company and closed successful sale to FEI Company (NASDAQ : FEIC) for an equity value of ~ $200 million.• Set up the treasury function, managing the Company’s investment portfolio, negotiating lines of credit, implementing foreign exchange hedging strategies. • Responsible for formulating the Company’s forecasts and annual operating plan, and performing 409A valuations.• Led the design and implementation of a global tax structure resulting in increased shareholder value and cash flows. • Set up and manage onsite-offshore resource framework, including setting up new entities worldwide.
