Sberbank is the largest lender and tech company in the market and a leading investor in TMT and FinTech (both by size and number of M&As). Responsible for all legal aspects of Sberbank’s M&A and PE/VC, with the key focus on cross-border English law deals. Built and leading M&A and PE/VC Legal function. Selected experience:- Acquisition and subsequent sale of a minority stake in VisionLabs B.V., incorporated in the Netherlands (priced for the deal at $100mln), AI computer vision leader to MTS, a leading telecom company in Russia, - Sale of the 5th largest banking group in Turkey, Denizbank, to Emirates NBD (UAE), assignment of subordinated loans, regulatory approvals in the UAE and other jurisdictions; - Establishment of $620mln JV with Mail.ru (now VK group) in FoodTech (food delivery from restaurants and stores via mobile apps) and mobility (taxi services via mobile apps); IP licensing, JV financing; antitrust and non-compete issues;- Structuring and establishing Sberbank’s overseas venture capital funds and advising them on investment and exiting deals; advising GPs and LPs, drafting and negotiating LPAs;- Acquisition of a leading music streaming business, “Zvuk”, and a leading online video platform, “Okko”;- Establishment and restructuring of $600mln joint-venture with Yandex N.V. in e-commerce and e-payments; etc
