Privacy and data protection compliance guidance for global nutritional supplement company as it transitioned from distribution through health care practitioners to a direct-to-consumer model. Primary areas of focus include: HIPAA, US State and Federal law and enforcement regarding collection and use of sensitive personal information (particularly in online advertising), and GDPR.

Scott creates, leads, and manages Qualcomm's global privacy and data protection compliance program with a small team of other lawyers and privacy professionals. Qualcomm's privacy program provides legal advice and best practice guidance for a variety of the company's B2B and D2C data services as well as processing personal data of more than 50,000 employees from over thirty countries. Over Scott's tenure at Qualcomm the company's data services have touched upon many areas of privacy and data protection issues including: location services, biometrics, artificial intelligence and machine learning, mobile health services, K-12 mobile education services, smart cities, telemetry data collection, online advertising, and many others. Scott also serves as subject matter expert on privacy and data laws to Qualcomm's Government Affairs team and has educated policy-makers in the US, Europe, and Asia on privacy and data law legislation including CCPA/CPRA, GDPR, ePrivacy Regulation, and others. In addition, Scott closely collaborates with IT Security to analyze potential breaches and drafts and manages appropriate breach notices. Scott also serves as the Data Protection Officer for one of Qualcomm's subsidiaries in Ireland (QT Technologies Ireland) and as the HIPAA privacy officer for the self-insured Qualcomm Group Health Plan.

As Qualcomm’s first attorney focusing exclusively on privacy issues, Scott leads the company’s efforts to design, create, and execute a comprehensive, consistent, and sustainable global privacy program. Scott has established the role of the Privacy Office as a new functional area within the global corporation responsible for: • Helping drive the development and enhancement of industry-leading privacy features in all of Qualcomm’s products and services; • Training Qualcomm attorney’s, project managers and developers on privacy issues and privacy best practices; • Coordinating with Government Affairs to monitor worldwide developments in both privacy-related legal and regulatory matters as well as industry best practices;• Representing Qualcomm in various privacy-related organizations; and,• Ensuring privacy law compliance.

Primary Responsibilities: Privacy compliance and counseling: Advise client with respect to direct-to-consumer, behavioral advertising software. Areas of privacy advice include: (i) ensure legal and best-practices on consumer/privacy disclosures; (ii) counseling to Product Management for new product features/functionalities; (iii) draft and update product and corporate privacy policies; (iv) monitor standards from industry and privacy organizations; (v) monitor state and federal legislation and coordinated lobbying efforts with outside counsel; (vi) coordinate with outside counsel on foreign privacy compliance and best practices in EU, Asia, and Canada; (vii) represent company in various privacy organizations; and (viii) provide management privacy training.Advertising: Review marketing and advertising materials for FTC and state law compliance.Contracts: Draft and negotiate joint venture agreements, software development and distribution agreements, content and advertising agreements, and various types of marketing and operating agreements. Corporate: Assist in the filing of a S-1 registration statement; acquiree-side due diligence for potential acquisition; management of corporate filings for wholly owned Japanese subsidiary.Litigation: Manage outside counsel in variety of litigation matters.Other Legal Advice: Assist the General Counsel on a variety of in-house matters such as resolving employment matters, drafting various company policies and procedures, and providing training.

Primary Responsibilities: License client’s digital map database and real-time traffic data. Types of agreements negotiated include Strategic Alliance and Cooperation agreements, VAR and Reseller licenses, Service Bureau licenses, Internet Provider licenses and End User licenses. Other Legal Advice: Assist the General Counsel by providing legal advice on a variety of in-house matters including: litigation, employment disputes, settlement agreements, sales staff training, educating foreign European parent company on California and federal law, drafting corporate documents, and supervising outside counsel.

Licensing/Contracting: Draft and negotiate a variety of agreements for the firm’s technology clients including computer software and hardware manufacturers and B-to-B and B-to-C Internet companies. Types of agreements include: privacy policies, EULAs, software licensing agreements, software distribution/reseller agreements, technology license agreements, MSAs, branding and marketing agreements, supplier agreements, OEM agreements, and other agreements. Corporate: Counsel clients through founders stock purchase agreements, preferred stock purchase agreements, bridge loans, warrants, and employee confidentiality and intellectual property assignment agreements. Litigation: First and second year associate in the firm’s ligation group. Represented the firm’s technology clients in patent infringement, trademark, and general commercial lawsuits.
