Introduced to Sonar Entertainment, LLC (a TV production/distribution company with substantial content library) as a potential acquisition target for a client of SSP Partners. At then-CEO’s request, agreed to work with the Company to help lead it. Partnered with (new) CEO to create/execute a turnaround plan. Paved the way for rebuilding the business: rebuilt and oversaw all legal, business affairs, corporate governance, and risk management; ensured regulatory, contractual compliance and proper corporate governance.

Served during a period of substantial changes in business models, ownership/management. Reported to the CEO, strategic business partner to Board of Directors, Investors/PE, Finance, Distribution and Licensing. Managed company-wide annual legal budget of up to $11M, built/led up to 90-person legal team responsible for all Transactional, Business Affairs, Corporate, Litigation, Governance, and Risk Mgt matters. Managed SEC filings/stockholder reporting, was responsible for Sarbanes-Oxley compliance. Starting at a $5B, NYSE-listed global media company, with $1.8B in revenues, helped guide MGM through an LBO, private equity ownership and a bankruptcy reorganization (5 regimes, multiple business models), culminating in a successful, restructured, quasi-public entity.
