CurrentI am a corporate transactions attorney with a practice consisting of working with entrepreneurs at all stages of their ventures. Specifically:• We help startup companies get going from the very beginning through multiple rounds of funding. My past experience working for both investors and companies gives me insight into the legal issues these companies face as well as what is going to come up down the road. • We also work with lower middle market companies ($50MM and less in enterprise value) with their day to day operations, capital raise, contracts, business continuity planning and Mergers and Acquisitions. • The more unusual the deal the more interested we are. We like people that come at things from a different angle. We typically work on a fixed fee basis and in some cases take equity in lieu of cash. Our fees are structured to partner with clients, for example we will take on broken deal risk in M&A engagements in certain circumstances. Our focus is on solving the problems the client is facing, not churning hours on a file.
