Prior to joining TrueCar, Inc., Scott was Senior Corporate Attorney at Bridgepoint Education and an associate in Wilson Sonsini Goodrich & Rosati's San Diego office, where he represented public and private technology and life science companies through all stages of their growth. Scott specializes in corporate and securities law, including general corporate representation, venture capital financings, mergers and acquisitions, and public offerings.Scott is a former audit manager with Ernst & Young's technology, communications, and entertainment practice group in San Diego. While at Ernst & Young, Scott managed audits of public and private companies, and he contributed to the preparation and review of registration statements for initial and secondary public offerings.Scott also served on the staff of the Securities and Exchange Commission (SEC) as a senior accountant in the Division of Corporation Finance. While on the SEC staff, Scott reviewed and commented on securities filings relating to initial public offerings, secondary offerings, mergers and acquisitions, and annual reports. Scott also commented on internal controls related to Sarbanes-Oxley implementation and accounting and disclosure issues such as those associated with revenue recognition, stock options, derivative instruments, and non-GAAP financial information.While in law school, Scott was accepted to the SEC's Summer Honors Law Program in the Division of Enforcement in Washington, D.C., where he participated in various securities law enforcement investigations. Scott is admitted to practice law by the State Bar of California and a Certified Public Accountant (inactive) licensed by the State of Texas.
