Served as General Counsel and Chief Compliance Officer for Danaher's Leica Biosystems business, a worldwide leader of medical devices in the field of cancer biopsy and diagnosis. As in-house counsel for Danaher for nearly a decade in roles of increasing responsibility, I most recently led the legal and compliance functions for Leica as part of Danaher's $7 billion diagnostics platform.

• General Counsel for an over $1 billion high-growth cancer diagnostic and technology business of Danaher directing the functions of legal, compliance, intellectual property and environmental, health and safety.• Led a direct global team of 22 attorneys and professionals advising on a broad range of issues facing a multi-national medical device business including compliance, regulatory, intellectual property, global privacy, litigation, M&A, trade, real estate and commercial activities with a manufacturing footprint in 12 different countries around the world. • In Chief Compliance Officer role, I drove the compliance function for the organization and its channel partners through policy and process creation and implementation, audit and monitoring of our business and channel partners and the institution of standard work and programs for a complex and diverse portfolio of diagnostic products. • Founding member of our Diversity and Inclusion (D&I) executive committee charged with advancing innovative actions that significantly impact our goal of creating a more inclusive work environment that values the contributions of every employee supporting our global business.

• Hired as a direct report into the General Counsel for Danaher’s dental business – a $3 billion global business with more than 15,000 employees.• Oversaw a very active M&A pipeline managing all aspects for numerous acquisitions ranging in value from $25 million to $2.2 billion (Nobel Biocare Holding AG). • Held the interim General Counsel role for two years for the full business following the 2013 resignation of the General Counsel shortly after my hiring. • Held role of board member and corporate secretary for a $300 million Danaher joint venture conducting monthly board meetings directing the oversight of company operations, management and strategy.• As interim General Counsel, held responsibility for driving legal functions in the areas of healthcare compliance, litigation, intellectual property, M&A, commercial contracting and employment managing a global staff of 13 attorneys and professionals. • Streamlined the commercial contracting process for the global business with the implementation of a web-based platform for requests, storage and execution of contracts reducing turnaround time by more than 60%.

• Served as Division Counsel for Alere Inc., a NYSE traded $3 billion medical device company. Lead counsel for Alere’s high-growth toxicology diagnostics and laboratory division, a worldwide $600 million business annually.• Responsible for legal oversight of daily operations at Alere’s San Diego campus of 1000+ employees, including the areas of compliance, human resources, manufacturing, supply chain, financial and commercial operations.• Oversaw domestic and international M&A activity for toxicology and other divisions of Alere; led target selection process, financial analysis and term sheet negotiation; drafted purchase documentation, supervised due diligence review and negotiated deal terms with target companies in collaboration with internal executives and outside counsel.• Negotiated and closed over 20 M&A deals in various areas of the healthcare industry ranging from $1 million to over $200 million.• Chaired Alere’s compliance committee overseeing the implementation of compliance programs for the toxicology division.
