• Reported directly to the Vice-President, Corporate & General Counsel. • Worked closely with the senior management team to analyze and address issues affecting the operations and governance of the Program including procurement, regulatory compliance, privacy, intellectual property, claims management and employment matters. • Responsible for the review, negotiation and drafting of various commercial contracts including those related to procurement of services, claims, construction, security, finance, confidentiality, privacy, information technology and employment. • Reported to the Superintendent of Insurance regarding regulatory compliance matters. • Provision of operational advice to all business units including the development and drafting of policies and procedures affecting each unit and ensuring staff fully understood the steps to be implemented. • Responsible for company-wide implementation of new provincial legislation, The New Home Buyer Protection Act, which transitioned the Program into an insurance company. This included liaising with Alberta Treasury Board and Finance to finalize terms of insurance policies, drafting new policies and procedures with business units, drafting and finalizing all new commercial forms for all business units, and reporting directly to senior management team with recommendations for implementation. • Reported to Board of Directors on a regular basis on various issues including corporate governance, corporate structure, commercial insurance renewal, and The New Home Buyer Protection Act. • Management of the complaints process through the development and drafting of appropriate policies and procedures with the goal of reducing homeowner complaints and improving various internal processes.

• Reported directly to President of land services company. • Reviewed, analyzed and revised telecommunication leases, licenses, easements, third party agreements and other commercial contracts.• Advised on contractual and operational issues including general corporate matters, contractual interpretation and negotiation, as well as documentation and associated due diligence. • Worked with various business units to ensure a thorough understanding of terms and obligations as set out in various agreements.

• Mergers, acquisitions and corporate reorganizations related to private companies including the negotiations and drafting of related corporate documents such as shareholder agreements, share purchase agreements, asset purchase agreements, and amalgamation agreements.• Banking and finance transactions including the negotiation and drafting of security documentation and legal opinions. • Completion of public company securities transactions including public offerings, private placements and significant mergers and acquisitions. • Research and preparation of tax opinions and tax appeal documentation. • Dispute resolution with the Canada Revenue Agency.• Regulatory compliance matters with the Competition Bureau.
