Seth leads the legal, risk, public affairs, and insurance teams at Fairstead. His expertise in negotiating complex financial transactions and managing corporate activities is rooted in over a decade of experience in real estate. Before joining Fairstead, Seth served as the Chief Operating Officer and General Counsel of HighBrook Investors, a real estate fund. He also worked as an attorney at the law firms Jones Day and Fried, Frank, Harris, Shriver & Jacobson LLP. Seth, who holds a BA from the State University of New York-Buffalo and a JD from Fordham University, has contributed to various trade and philanthropic boards, including the New York State Association for Affordable Housing (NYSAFAH).

Seth Hoffman served the Chief Operating Officer and General Counsel of HighBrook Investors, a New York-based real estate private equity fund, and the first to serve in these roles. He was responsible for establishing the firm’s operating and governance framework and building internal and external teams. In addition, he played an integral role in a majority of the firm's $2.5 billion of acquisitions.Mr. Hoffman served on the firm's the Executive Committee and the Risk Management Committee, as well as Managing Director of the Board for all HighBrook portfolio companies. He also served as the Chief Compliance Officer and Corporate Secretary and advised the firm’s Advisory Board and Investment Committee.Mr. Hoffman oversaw all deal execution, capital markets transactions, financings and key portfolio company events. Representative transactions include leading the $200 million acquisition of a Euronext listed public company and the $700 million portfolio acquisition and the $140 million recapitalization of an existing syndication for an office tower. Mr. Hoffman also led all capital markets negotiations and documentation, including side letters, with investors.In addition, Mr. Hoffman was responsible for all legal and compliance matters, including deal execution, investment structuring, Opportunity Zone and REIT structuring, portfolio company management, corporate governance, compliance (SEC, FINRA, FCA, AFM, GDPR) and legal oversight. He oversaw domestic and foreign platform-level operations, including technology, operations and human resources.Mr. Hoffman created and supervises all operational, reporting, tax and compliance procedures for foreign investments and HighBrook operational offices across the United Kingdom, the Netherlands, Germany, Luxembourg and Jersey.

Served as a senior associate in the Real Estate group of Jones Day, representing real estate and infrastructure clients.Structured, documented and provided ongoing counsel for a wide variety of complex capital structures, including joint ventures, preferred equity investments, bridge loans and special situation investments.Advised owners and lenders on low-income housing tax credit financing (LIHTC), 80/20 financings, new market tax credit financing, historical tax credit financing and other alternative financing structures.Represented developers and lenders on construction financing, contracts and other development issues. Advised on union issues, landlord tenant issues, stabilized housing issues (HUD, HPD, HDFC), condominium conversion issues, and other considerations in the ownership and operation of multifamily housing.Managed and coordinated the due diligence process and ongoing asset management for acquisitions financings and dispositions; advise on the selection and management of brokers, local legal counsel, lenders, accountants and other third-party advisors throughout the United States.

Joined Fried Frank's New York office in 2005. Starting In 2007, served as the lead associate in the establishment of Fried Frank’s Hong Kong office. Advised on real estate M&A transactions, including public acquisitions, pre-IPO investments and structuring, and other real estate capital market transactions.Advised clients in a diverse cross-border practice included real estate private equity transactions, joint ventures and acquisitions and a wide range of corporate real estate transactions.
