 Responsible for all Company Secretarial functions, duties and responsibilities. Conducting of General Meetings, Board Meetings and Committee Meetings (Audit Committee, CSR Committee, Remuneration and Nomination Committee both physically and virtually) Drafting of notices, agendas, Director’s Report, Explanatory Statements, Resolutions and Minutes of the Meeting. Preparation, printing and circulation of Annual Reports. (Placing the printed report along with Minister Statement before both house of parliament with Hon’ble Minister signature.) Maintaining various Statutory Registers (register of directors, members, share transfer, KMP, contract with related parties, charges etc.) Filing numerous periodic and event-based forms and returns. (CSR-2, PAS-3, ADT-1, MGT-7, AOC-4 XBRL, CRA-2, CRA-4, DIR-3 KYC, GNL-1, DIR-12 etc.)Coordination with various Ministries and Departments. (DSIR, CSIR, Ministry of Science & Technology, SHCIL, NSDL)  Vetting and drafting of various legal Agreements/ documents like, POA, affidavits, Indemnity Bond, Letter of Authority, rent agreement etc.  Handled the routine job such as Share Transfer, Right Issue, Passing of agenda by circulation, preparation of extracts of the resolutions passed by the directors etc.  Preparation and submission of Corporate Governance Report to the Ministry.  Following DPE Guidelines.

•Incorporation of public/private Company/OPC, section-8 companies, and LLP. •Change of registered office of the company within the city and also from one city to another within the same district.•Name change of the companies.•increasing the authorized share capital of the company.• Alteration of memorandum and articles of association of the company.•issue and transfer of shares.•creation of charge, modification of charge.•Minutes of the board meeting and general meetings.•GST registration, MSME registration, Shop, and Establishment registration •Trade mark registration, filling of reply applications, trademark search, etc.•Annual Filling of the companies. •Other Secretarial compliances such as filling of DIR-3 KYC, DIR-12, SH-7, PAS-3, CHG-1, INC-20A, CFS AOC-4, BEN-2, ADT-1, ADT-3, MGT-14, SH-4 etc. •Drafting of agreements and documents for various assignments like Sweat equity shares, ESOP, gift deed for shares, share transfer agreement, Rent agreement, Partnership agreement, power of attorney, share transfer documents, share capital allotment, company closure documents, LLP closure documents, B2B contract draft, resolutions etc. • Preparation of Search Report in MS- Word for sanctioning of bank loans.
