- Ensuring proper compliance of legislations in regards to all changes in the applicable Laws and regulations. - Covering end-to-end process for conducting Board Meetings, General Meetings and Committee Meetings (Physical and Virtual) including pre and post Meeting compliances in accordance with governing regulations. - Liasioning with Statutory Authorities, Consultants, Regulatory Bodies, Bankers, Shareholders and other stakeholders on regular basis for ensuring compliances.- Acting as a key point of contact between the board, senior management, and Holding Company.- Ensuring compliances of Companies Act & Rules, Listing Regulations, SEBI Rules & Regulations, IRDAI Regulations, RBI guidelines and other allied laws.- Preparation and finalisation of Annual Report by collating the same from various stakeholders within and outside the organisation and ensuring the delivery of the same to the stakeholders.- Designing “Compliance Module” for internal consumption. This includes detailing all the SOP`s to be followed and repercussions in case of non-adherence to the SOP`s. - Preparing documents for filing of various forms pursuant to provisions of the Companies Act, 2013 and rules made thereunder with Ministry of Corporate Affairs - Liasoning with Stock Exchanges, NSDL, CDSL, RTAs and ROC for regulatory matters.- Identifying and mitigating corporate risks, ensuring the company’s policies and procedures are adhered to.- Advising the board on corporate governance practices, improving compliance and governance frameworks.- Handled Postal Ballot process, Preferential Allotment of Shares and listing of shares on the Stock Exchange.- Handled the matters covered under Insolvency and Bankruptcy Code (IBC) including Revival of Strike off Company.- Drafting and vetting of various agreements like Lease Agreements, Non-Disclosure Agreement, Shareholder Agreement, Share purchase agreement, Power of Attorney, Affidavits, Indemnity Bond, Vakalatnama etc.
