Reporting to the Group General Counsel my main responsibilities involve, by way of example: - review, drafting and negotiation of contracts and other legal documents referred to Maire Tecnimont and its Italian and its foreign subsidiaries (such as frame agreement, confidentiality agreements, memorandum of understanding, commercial contracts, parent company guarantees etc);- drafting of standard corporate contractual forms to be applied to all Maire Tecnimont's subsidiaries; - legal advices to assist the different business units in order to prevent legal and contractual problems and mitigate any potential risk;

In my current position I am in charge of the compliance pursuant to Legislative Decree 231/2001 for the whole Maire Tecnimont Group, Italian and foreign companies. In this role I deal with all the standard and special activities to comply with the Italian anticorruption laws such as by means for example:- Assisting and giving input in drawing up rules/policies/guidelines, defined at Group level, on specific topics relevant for all Group companies;- Organizing and directly manage all the Supervisory Bodies meetings creating coordination, at Group level, between the different Supervisory Bodies;- Providing legal advices to assist the different business units and management;- Updating the organization, management and control Model in coordination with the competent Department and external consultants. I am also in charge to manage the institutional relationship with Statutory and External Auditors, Directors and external consultants.I’m a member of different Supervisory Bodies (Tecnimont SpA, KT, Kintetics Technology SpA, Tecnimont Civil Construction SpA) and single Supervisory Body (MGR Verduno 2005 SpA ) of Maire Tecnimont’s subsidiaries.

Reporting to the Head of the Corporate Affairs, my main responsibilities concerned the coordination and management of all the corporate transactions (ordinary and extraordinary transactions) involving Giochi Preziosi Spa and its Italian an foreign subsidiaries. In particular:i) ordinary and extraordinary corporate assistance for the holding company and all the subsidiaries taking part of Giochi Preziosi Group (e.g. approval of the annual statutory financial statements, organization and management of extraordinary and ordinary shareholders as well as Board of Directors’ meetings both to fulfill specific requirements, increase or decrease of share capital, M&A operations, accession of companies to a senior loans agreements as well as transactions aimed at extending the lenders's security package over group assest in Italy and abroad etc.), ii) Drafting of minutes concerning Board of Directors’ and Shareholders’ meetings for both Italian and foreign companies, pledge agreement, powers of attorney, by-laws and shareholders agreements etc;iii) Providing legal assistance on corporate governance matters in Italy and abroad, iv) drafting legal opinions for internal purpose in relation to civil and corporate matters,iv) managing the relationship with external Authorities (C.C.I.A.A., Consulates, Embassy etc)

Advice on corporate and civil matters;amendment of by-laws to update them to the new corporate provisionsdraft of civil and commercial contracts (e.g. franchising agreements, service agreements, rental agreements etc.)
