My work focuses in preparing all legal means necessary to the life cycle of a company, from its birth (statutes of incorporation, shareholder agreements, shareholder resolutions) to its termination (voluntary liquidation, insolvency procedures), .In this context, I advise on a daily basis my clients on all the relevant transactions, particularly on national and international supply, global service, banking, finance, outsourcing and publishing agreements.Over the past five years I developed a deep experience in M&A, coordinating and participating in many extraordinary transactions, offering to my Clients both ex ante advising (preparation of legal due diligence, economic analysis of the operation and its reflexes) and, when necessary, ex post legal enforcement of the agreements by judicial trials or arbitration proceedings.Another main area of my work is IP advising and Brand Protection always on an ex ante perspective (drafting of licensing agreements, confidential disclosure agreements, Non-disclosure agreements, registration of trademarks and patents, licensing process, protection of industrial secrets) and ex post enforcement (mainly under Italian Law and European Directives).I always, then, paid particular attention to Real Estate, advising my clients in the purchase, leasing, property management, establishment of a trust (REIT, SIIQ), often negotiating, on their appointments, directly with the counterparties.
